Description

Commercial contracts between international parties present an array of unique legal risks and considerations that transactional attorneys should account for in order to effectively serve their clients. This presentation will highlight some of those risks and considerations and provide tips and insights for drafting, reviewing and negotiating the contract, including contracts for the procurement of goods, services and software. Topics include some of the most common international laws (such as the UN Convention for the Sale of Goods, US export controls and OFAC), governing law and jurisdiction clauses, and a discussion on cultural norms and expectations. The presentation is primarily intended for commercial transaction attorneys who are new to international law or who could simply use a refresher.
